- Parties
This Agreement is made between:
Meridianis Global Ltd (“Supplier”)
and
[Business Name] (“Customer”)- Purpose of Account
This Trade Account grants the Customer access to:
– Wholesale pricing
– Case and bulk purchasing
– Trade-only stock
– Trade documentation and invoices
This Agreement does not provide credit facilities.
- Payment Terms
All goods supplied under this Trade Account must be paid for in full before dispatch or collection.
No credit terms are offered unless agreed in writing by Meridianis Global Ltd.
The Supplier reserves the right to refuse release of goods until payment is received in cleared funds.
- Orders
Orders placed by the Customer constitute an offer to purchase goods at agreed trade pricing.
The Supplier reserves the right to:
– Accept or reject any order
– Amend pricing due to error
– Withdraw stock
- Returns (Trade Customers)
Trade sales are final.
Returns will only be accepted where:
– Goods are faulty
– Goods were supplied incorrectly
Claims must be made within 48 hours of delivery or collection.
- Retention of Title
Ownership of goods remains with Meridianis Global Ltd until full payment has been received in cleared funds.
Until ownership passes:
– Goods must remain identifiable as Supplier property
– Supplier reserves the right to recover goods if payment has not been received
Risk passes to the Customer upon delivery or collection.
- Suspension or Termination
The Supplier may suspend or terminate the Trade Account immediately if:
– Payment is not received
– False business information is provided
– The account is misused
– The Customer becomes insolvent
The Supplier reserves the right to withdraw wholesale pricing at any time.
- Insolvency
If the Customer enters liquidation, administration, or ceases trading:
– All outstanding sums become immediately due
– Supplier may recover unpaid goods
- Limitation of Liability
The Supplier’s liability is limited to the value of goods supplied.
The Supplier is not liable for indirect or consequential losses.
- Governing Law
This Agreement is governed by the laws of England and Wales.
